Ethical Investment Services is a Melbourne based financial planning practice. Having operated for over 37 years, it is one of Australia’s first movers in the ethical investing space.
The principal wanted to explore possible sale options which gave her certainty in terms of her succession strategy but also accommodated her desire to continue working in the short to medium term as an advisor without the headache of day-to-day management.
Given the long tenure of several staff, the principal wanted to maintain the practice’s culture. It was also important to maintain the practice’s unique ethical investment and branding position to maximise client retention and continue to deliver advice in this specialised area.
The Solution
JNP Advisory undertook a strategic review to appraise the business and confirm the objectives of all key stakeholders.
Upon completing the strategic review, a discrete marketing campaign was undertaken to secure an acquirers/merger partner sensitive to the practice’s culture and long-standing ethical brand.
JNP Legal were closely involved in the transaction from the term sheet stage and completed the legal documents, resulting in a seamless and timely execution of the transaction.

The Outcome
The successful purchaser was a Brisbane based financial planning firm with a Sydney presence. The practice’s back-office operations were integrated into the purchaser, whilst the practice client engagement model, investment philosophy and brand were retained.
To provide our client with potential upside, 10% of the sale consideration was received as shares in the purchaser with a guaranteed minimum buyback price at today’s value, providing our client with upside but limited downside.
All clients and revenue were retained with the retention holdback amount paid in full.
