As part of the principal’s succession strategy, he wanted to achieve a great result for all parties. This included his clients, his team, and the acquiring firm in addition to himself.
These goals were to be achieved by:
The Solution
After completing a strategic review to appraise the business and confirm the objectives of the principal, a discrete marketing campaign was undertaken with a focus on an acquirer with a similar high-net-wealth-individual client base and the capacity to facilitate a smooth merger.
JNP Legal were closely involved in the transaction from the term sheet stage and completed the legal documents, resulting in a seamless and timely execution of the transaction.
We were able to get the best result by leveraging JNP Advisory’s significant corporate advisory and legal experience. Additionally, the coordinated approach between JNP’s corporate advisory and legal meant the transaction and its documentation was more efficient and timelier than would have been the case with unrelated advisors.

The Outcome
The successful purchaser was a two partner, Sydney based accounting firm.
The Vendor has continued to work with the purchaser, along with key staff, for several years after the transaction.
All clients and revenue were retained, with the retention holdback amount paid in full.
